Terms of Service

By accessing this website or engaging Grey Expedite Logistics LLC(“Grey Expedite Logistics”) for dispatch services, you agree to these terms. If you do not agree, do not use the site or our services.

Grey Expedite Logistics is a dispatch service, not a licensed freight broker, freight forwarder or motor carrier. We act as your agent, under your operating authority, to locate and negotiate freight that you approve.

• We do not take possession, custody or control of freight
• We do not re-broker loads or hold ourselves out as a broker
• All loads are hauled under your own operating authority and insurance
• You retain full responsibility for safety, compliance and hours of service

You represent and agree that you will:

• Maintain active operating authority in good standing with the FMCSA
• Maintain insurance at or above the limits required by the brokers and shippers you haul for
• Provide accurate, current information during onboarding and thereafter
• Comply with all applicable federal, state and local transportation regulations, including hours-of-service rules
• Notify us promptly of any lapse in authority, insurance or safety rating
• Communicate load status truthfully and in a timely manner

We present loads for your review with the rate, lane, equipment requirements and appointment windows. No load is booked without your approval. You are free to decline any load for any reason.

Once you approve a load and we book it on your behalf, you are responsible for performing it in accordance with the rate confirmation issued by the broker or shipper.

Our fee is a percentage of the linehaul on loads we book for you, at the rate stated in your signed dispatch service agreement. We charge no setup fee and no monthly minimum, and we do not charge on freight you source yourself.

Fees are invoiced per load or on the schedule set out in your agreement. Amounts unpaid past their due date may accrue interest as permitted by law, and we may suspend service on accounts that fall materially past due.

Our dispatch agreement runs week to week. Either party may cancel with 30 days’ written notice. There is no termination fee. Loads already booked at the time of cancellation are completed and billed in the normal course.

We will pursue detention, layover, truck-order-not-used and lumper reimbursements on your behalf where the rate confirmation allows and you provide supporting documentation. Recovery is never guaranteed and depends on broker terms and the evidence available.

The website and our services are provided “as is” without warranties of any kind, express or implied, to the maximum extent permitted by law. We do not warrant any particular freight volume, rate per mile, revenue outcome or continuous availability of loads.

Statistics, testimonials and rate figures shown on this site are illustrative and are not a guarantee of results. Freight markets fluctuate and individual outcomes vary.

To the fullest extent permitted by law, Grey Expedite Logistics is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue or lost business opportunity, arising out of or relating to our services.

Our total aggregate liability for any claim is limited to the dispatch fees you paid us in the 30 days preceding the event giving rise to the claim.

You agree to indemnify and hold harmless Grey Expedite Logistics LLC, its officers, employees and agents from claims, damages and expenses arising out of your operation of commercial motor vehicles, your performance or non-performance of booked loads, cargo loss or damage, or your breach of these terms.

All content on this site — text, graphics, logos and layout — is the property of Grey Expedite Logistics LLC or its licensors and may not be reproduced without written permission. Third-party names and marks shown on this site belong to their respective owners and do not imply endorsement.

These terms are governed by the laws of the state in which Grey Expedite Logistics LLC is established, without regard to its conflict-of-laws rules. The governing state and venue will be named here once the company’s registered address is published.

We may revise these terms from time to time. Continued use of the site or our services after a revision constitutes acceptance of the updated terms.
